John A. Kelley, Jr., is Chairman and Chief Executive Officer of CereScan. He has been a director of Polycom, a publicly traded company, since March 2000. Mr. Kelley most recently served as the Chairman, President and Chief Executive Officer of McDATA Corporation, a provider of storage networking and data infrastructure solutions and software. McDATA was acquired by Brocade Communications Systems, Inc., a data infrastructure company, in January 2007. Mr. Kelley started at McDATA as President and Chief Operating Officer in August 2001. Prior to joining McDATA, Mr. Kelley served as Executive Vice President of Networks at Qwest Communications from July 2000 to January 2001. He served as President of Wholesale Markets for US West from May 1998 to July 2000. From March 1995 to April 1998, Mr. Kelley served as Vice President and General Manager of Large Business and Government Accounts and President of Federal Services for US West. Prior to joining US West, Mr. Kelley was the Area President for Mead Corporation's Zellerbach Southwest Business Division from 1991 to 1995, and has held senior positions at Xerox and NBI. Mr. Kelley is also a director of two venture backed start-up companies, StoredIQ and Aztek Networks. Mr. Kelley also serves as a board member of Circadence Corp, a privately held technology company in Boulder Colorado. He previously served on the Board of Directors of Captaris Corporation, a publicly held company in Redmond, Washington, that was acquired in 2008. He is also a board member of Mt. St. Vincent, a not-for-profit organization, and a member of the Colorado Women’s Vision Foundation. Mr. Kelley holds a B.S. in business management from the University of Missouri, St. Louis.

John Q. Adams, Sr., became a member of the CereScan’s Board of Directors in early 2009 and was elected CereScan’s Vice Chairman in mid-2009. Mr. Adams is a renowned industry leader and innovator, and brings the Company over 45 years of experience in the pharmaceutical industry including serving as the founder and former Chairman, President and CEO of Adams Laboratories, Inc., a Fort Worth, Texas provider of specialty pharmaceuticals for respiratory care and the developer of Mucinex.™ In 1991, Mr. Adams sold the company to Medeva PLC, a London based international prescription pharmaceutical company that was subsequently acquired by Celltech Chiroscience PLC (CCP) for $914 million. In October of 1997, Mr. Adams repurchased the original Adams Laboratories, Inc. name and manufacturing facility in Fort Worth, Texas from Medeva PLC and changed the name of the company to Adams Respiratory Therapeutics, Inc. In 2005, and as Chairman, Mr. Adams implemented a $135 million initial public offering underwritten by Merrill Lynch & Co and Morgan Stanley, and soon thereafter retired as Chairman. In January 2008 and after a $2.23 billion tender offer at $60 per share, Adams Respiratory Therapeutics, Inc. was merged into a wholly owned subsidiary of Reckitt Benckiser Group plc (Lon:RB), a leading international manufacturer and marketer of branded products in household cleaning and health and personal care with annual sales of $5 billion. Prior to founding Adams Laboratories he acquired and/or co-founded Baylor Laboratories, a pharmaceutical laboratory, and Allerderm, Inc., a prescription veterinary dermatology company, which he subsequently sold to large pharmaceutical companies. In January 1998, Mr. Adams opened Rough Creek Lodge, a 39 room luxury resort and executive conference center located approximately 90 miles from Fort Worth. He is the President of J.Q. Enterprises, Inc., a holding company for his interests. In July 2007, Mr. Adams was elected to the Board of Trustees for Heidelberg College in Tiffin, OH and in April 2009 was inducted into the Hall of Excellence of the Ohio Foundation of Independent Colleges which each year honors three distinguished graduates from 34 Ohio colleges.

Bradford K. Amman is CereScan’s Chief Financial Officer. From June 2006 to December 2010, Mr. Amman served in various roles including the Chief Financial Officer, VP Finance, Secretary and Treasurer of LifeVantage Corporation, a scientifically-based and publically-held dietary supplement company. Prior to joining LifeVantage, Mr. Amman provided CFO-level financial consulting services to a unique client base within the hospitality, lodging, e-commerce, transportation and manufacturing industries. Mr. Amman served as the Vice President of Finance and Administration and the Treasurer of SKYDEX Technologies, Inc. in Denver, and has served in various senior level financial and accounting roles within the 28 CONFIDENTIAL AND PROPRIETARY INFORMATION manufacturing and telecom industries. Mr. Amman received his B.S. in Accounting from the University of Denver and his M.B.A. from the University of Notre Dame. manufacturing and telecom industries. Mr. Amman received his B.S. in Accounting from the University of Denver and his M.B.A. from the University of Notre Dame.

Vincent D. Bradshaw has been an independent advisor to CereScan since May 2008 and became its Chief Operating Officer in early 2009. Mr. Bradshaw has over 20 years of senior level management experience with AT&T, Bell Labs and USWest and ten years of senior level management experience with several mid-market companies. His experience includes leading corporate operations, marketing, sales, business development, customer service and government contract management functions, as well as successful engagements as a business consultant. He is a director of Centennial Food and Beverage, LLC, a wholesale distributor, and ServiSight, LLC, a management consulting firm. He has successfully built operating divisions from start-up to over $550 million in revenue. He is has completed a government-developed healthcare information technology certification program to better position the company as a potential electronic health records (EHR) supplier.

Stanley F. McGinnis became a member of CereScan’s Board of Directors in mid-2009. Since 1987, he has been the founder and Chief Executive Officer of McGinnis Group International, LLC, a Colorado limited liability company, d/b/a Secure Signals, a privately owned global company that specializes in cable and satellite piracy matters in Denver, Colorado (“SSI”). Mr. McGinnis received an Associate Arts Degree in Criminal Justice from the College of Marin (Kentfield, CA) in 1969 and attended the LaSalle School of Law. From 1979 to 1999, he was a member of the Board of Directors of the Central YMCA in San Francisco where he also served as Chairman for two years and was a founding member of that organization’s Heritage Club. Mr. McGinnis has been a member of the board of IPtimize (a publicly traded company) since 2007. He is the Chairman of the Company’s Compensation Committee and is a member of its Audit Committee.

Richard C. Williams became a member of CereScan’s Board of Directors in mid-2009. Mr. Williams is President and Chief Executive Officer of Conner-Thoele Limited, a consulting and financial advisory firm specializing in the healthcare industry and pharmaceutical segment. Mr. Williams is also Chairman and Director of ISTA Pharmaceuticals. He is on the advisory board of EGS Healthcare Partners and was a member of the Listed Company Advisory Committee of the New York Stock Exchange. Mr. Williams previously served as Vice Chairman – Strategic Planning and a Director of King Pharmaceuticals, a NYSE emerging specialty pharmaceutical company where he was responsible for the acquisition and integration of Jones Pharma ($3.2 billion) and Medco Research. Previously Mr. Williams served as Chairman and Director of Medco Research a NYSE cardiovascular development company, where he rebuilt the management team, focused the strategic direction and acquired a varied and broad technology platform. He also served as Co-Chairman and director of Vysis, a NASDAQ genetic biopharm company. Prior to founding Conner-Thoele Limited in 1989, Mr. Williams served in a variety of progressively responsible operational and financial management positions with Erbamont N.V., a multinational ethical pharmaceutical company, and with Abbott Laboratories and American Hospital Supply Corporation. Mr. Williams received a Bachelor of Arts degree in Economics from DePauw University and a Master of Business Administration from the Wharton School of Finance.

Robert B. Rothermel was elected to CereScan’s Board in November 2009. Mr. Rothermel is a partner with CroBern Management Partners, a private investment and management firm that works exclusively within the health care industry. He has extensive experience helping startups to mid-size companies grow and bring their products or services to market. He is a board member and chairman of the audit committee of three CroBern portfolio companies. He is the former leader of the enterprise risk services practice for Deloitte & Touche, where he retired after 37 years of service, including serving as a member of the firm’s board of directors, the firm’s Global Assurance and Advisory Committee, the U.S. Management Committee and Chairman of the firm’s Partner Compensation Committee.

Bob Connelly became a member of CereScan's board of Directors in December of 2011. Bob is an attorney, private investor and advisor to several biotech start-ups and is the former vice president and deputy general counsel for Qwest and US West Corporation. He is a graduate of Columbia University School of Law and brings more than 30 years of experience in private practice and corporate counsel positions with Qwest and US West.

T. Richard Fort, PhD, became a member of CereScan's Board of Directors in December of 2011. Rick earned a B.A. in psychology from Louisiana State University, an M.S. in experimental psychology from Northeast Louisiana University, and a Ph.D. in organizational psychology at Walden University. Rick began his career in the space shuttle program at Kennedy Space Center where he worked in Human Resource Development with a focus on leadership and total quality management. After continuing his career in HR in the telecommunications industry for six years, he moved into the world of education when he bought a Sylvan Learning Center franchise.  In 1995, he founded ESM, which was then a customer contact center serving only a handful of Sylvan Learning Centers in Colorado, but which quickly grew into the premiere enrollment center for Sylvan franchisees across the nation.  ESM branched into higher education and became the leading business process outsourcer for student lifecycle services primarily in the areas of college admissions and student retention.  Over 16 years ESM grew to $50M in revenue and 800 employees and was acquired by Xerox Corporation in July, 2011.  His emphasis on building a winning environment and shaping a culture of excellence led ESM to be recognized as one of the Best Companies to Work For in Colorado and Ohio.  Today, Rick manages The Fort Knocks Company, a family holding company.
